Terms of Service
Please read these terms carefully before engaging in business cooperation with Ningbo Wenyn Import & Export Co., Ltd.
1. Scope of Cooperation
These Terms of Service apply to all business transactions between Ningbo Wenyn Import & Export Co., Ltd. (hereinafter referred to as "the Company") and its clients, including but not limited to:
- OEM (Original Equipment Manufacturing) orders
- ODM (Original Design Manufacturing) projects
- Custom product development and manufacturing
- Bulk orders for bags, luggage, and related accessories
By placing an order or signing a contract with the Company, clients acknowledge and agree to be bound by these terms.
2. Order Rules
2.1 Minimum Order Quantity (MOQ)
Standard MOQ is 500 pieces per style/color combination. For custom designs or special materials, MOQ may be adjusted based on production requirements. Trial orders with lower quantities may be negotiated on a case-by-case basis.
2.2 Payment Terms
- All Clients: 30% deposit upon order confirmation, 70% balance before shipment
- Payment Methods: T/T (Wire Transfer), L/C at sight
- All bank charges are borne by the respective parties
2.3 Production & Delivery Time
- Standard Orders: 35-45 days after deposit receipt and design confirmation
- Rush Orders: Available with additional fees (10-15% surcharge)
- Peak Season: Lead time may extend during Q3-Q4 (July-December)
- Delivery time starts from the date of deposit clearance and final artwork approval
3. Customization Terms
3.1 Sample & Development Fees
- Standard Samples: USD 50-150 per piece (refundable upon order placement exceeding MOQ)
- Custom Samples: Fees vary based on complexity, typically USD 100-300
- Sample Lead Time: 7-15 days after design confirmation
- Sample fees cover material costs, labor, and shipping (via express courier)
- Revisions: First revision free; additional revisions charged at 50% of original sample fee
3.2 Mold & Tooling Ownership
- Custom Molds: Clients bear 100% of mold costs (typically USD 200-800 per mold)
- Ownership: Molds remain Company property but are exclusively reserved for the client
- Storage Period: Molds stored free of charge for 2 years after last order; USD 50/year thereafter
- Transfer: Molds can be transferred to client upon written request and payment of handling fees
- Mold fees are non-refundable but may be amortized over subsequent orders as agreed
3.3 Intellectual Property
The Company respects client IP rights. Custom designs provided by clients remain their property. The Company will not reproduce or disclose such designs to third parties without written consent. Clients must ensure their designs do not infringe on third-party rights.
4. Quality Control & After-Sales Service
4.1 Quality Inspection
- Internal QC: 100% inspection conducted before shipment
- Third-Party Inspection: Clients may arrange independent inspection at their cost
- Inspection Window: Clients must notify inspection plans 5 days before scheduled shipment
- Standards: Products meet EU/US safety and quality standards (REACH, CPSIA, etc.)
- Defect Rate: Acceptable defect rate is 2% (industry standard for soft goods)
4.2 Warranty & Returns
- Warranty Period: 90 days from shipment date for manufacturing defects
- Claim Process: Written notice with photos/videos within 7 days of receipt required
- Resolution Options: Repair, replacement, or credit note (at Company's discretion)
- Non-Warranty: Damage from misuse, normal wear, or unauthorized modifications not covered
- Return Shipping: Defective goods returned at Company's expense (after approval)

5. Liability & Dispute Resolution
5.1 Breach of Contract
- Payment Default: Late payment incurs 1.5% monthly interest; orders suspended after 15 days overdue
- Order Cancellation: Client cancellations after production start forfeit deposit; completed goods must be paid in full
- Delivery Delay: Company liable for delays exceeding 15 days (excluding force majeure); penalty capped at 5% of order value
- Quality Issues: Company's maximum liability limited to order value; consequential damages excluded
5.2 Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to: natural disasters, war, government actions, pandemic, strikes, or material shortages. Affected party must notify the other within 7 days and provide supporting documentation.
5.3 Dispute Resolution
- Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation
- Mediation: If negotiation fails, disputes may be submitted to mediation by a mutually agreed third party
- Arbitration: Unresolved disputes shall be settled by arbitration under CIETAC rules in Ningbo, China
- Governing Law: These terms are governed by the laws of the People's Republic of China
- Language: English version prevails in case of discrepancies with translations
5.4 Amendments
The Company reserves the right to update these Terms of Service. Clients will be notified of material changes via email. Continued engagement after notification constitutes acceptance of revised terms. Specific order contracts supersede these general terms where applicable.
